Terms of Service

1. Services

Subnet Studio provides AI-powered fashion production services, including but not limited to: custom AI model training, on-model imagery generation, campaign production, and ongoing content production plans. All services are provided on a project or production plan basis as agreed upon in writing.

2. Intellectual Property

Client Assets: You retain all rights to product images, brand materials, and other assets you provide to us for the purpose of AI model training and content generation.

Deliverables: Upon full payment, you receive exclusive, perpetual rights to use all final delivered images for commercial purposes, including advertising, e-commerce, social media, and print.

AI Models: Subnet Studio retains ownership of trained AI models, workflows, and proprietary techniques. These may be refined using learnings from your project but will not be shared with competitors or used to generate content for competing brands during an active production plan period.

Portfolio Rights: Unless otherwise agreed, Subnet Studio may use delivered work in our portfolio, case studies, and marketing materials.

3. Payment Terms

  • Project work requires a 50% deposit before commencement, with the balance due upon delivery.
  • Production plan fees are billed monthly in advance and are non-refundable for the current billing period.
  • All prices are quoted in South African Rand (ZAR) unless otherwise specified.
  • Late payments may incur interest at 2% per month on outstanding balances.

4. Production Plan Terms

  • Production plan image allocations do not roll over to the following month.
  • Production plans may be paused for up to one month per calendar year with 14 days written notice.
  • Tier upgrades take effect immediately; downgrades take effect at the next billing cycle.
  • Cancellation requires 30 days written notice.

5. Revisions & Approvals

Each project or monthly production plan allocation includes reasonable revisions as part of our quality assurance process. Major revisions requiring re-training of AI models or significant changes to approved creative direction may incur additional fees, which will be quoted in advance.

6. Confidentiality

We treat all client information, product details, and unreleased campaigns as strictly confidential. We will not disclose your information to third parties without your consent, except as required by law. Mutual NDAs are available upon request for sensitive projects.

7. Limitation of Liability

Subnet Studio's liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption. AI-generated content is provided "as-is" and we make no guarantees regarding performance metrics or commercial outcomes.

8. AI & Generated Content

You acknowledge that our services utilize AI image generation technology. While we strive for accuracy and quality, AI-generated content may contain imperfections. You are responsible for reviewing all deliverables before commercial use. We recommend disclosing AI-generated content where required by applicable advertising standards or regulations.

9. Termination

Either party may terminate services with 30 days written notice. In the event of termination, you will receive all completed deliverables paid for to date. Subnet Studio reserves the right to terminate services immediately for non-payment or breach of these terms.

10. Governing Law

These terms are governed by the laws of South Africa. Any disputes shall be resolved through arbitration in Cape Town, South Africa, in accordance with the Arbitration Act.

11. Changes to Terms

We may update these terms from time to time. For active production plan clients, we will provide 30 days notice of material changes. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
